Terms and Conditions for PhD Scholar Research Collaborators/Supply Side User
These Terms and Conditions (“Terms”) govern the use of the ATTMANS by PhD scholars acting as research collaborators (“Collaborators”). By registering and using the ATTMANS, you agree to be bound by these Terms.
1. Scope of Services
- Collaborators will provide research collaboration services to companies (“Demand side user”) on the ATTMANS.
- The specific scope of services will be outlined in each individual project agreement between a Collaborator and a Client.
2. Project Agreements
- Collaborators and Demand side users will enter into separate project agreements for each collaboration.
- These agreements should detail the specific research project, deliverables, timelines, fees, and intellectual property ownership.
3. Intellectual Property
- Ownership of intellectual property (IP) created during a collaboration will be determined in the project agreement.
- Common options include:
- Client owns the IP with Collaborator receiving acknowledgment and potential co-authorship.
- Collaborator retains ownership but grants the Client a license to use the IP for specific purposes.
- Both parties are responsible for adhering to any third-party IP used in the project.
4. Confidentiality
- Collaborators agree to keep confidential any non-public information disclosed by Demand side users during a collaboration.
- Exceptions may include publicly known information or information independently developed by the Collaborator.
5. Disclaimers and Warranties
- The ATTMANS is provided “as is” and without warranties of any kind.
- Collaborators are responsible for the quality and accuracy of their work.
- The ATTMANS does not guarantee the success of any collaboration or the suitability of any Collaborator.
6. Termination
- These Terms and a Collaborator’s access to the ATTMANS may be terminated by either party for any reason with written notice.
- Termination of a project agreement will be governed by the terms of that agreement.
7. Governing Law and Dispute Resolution
If a dispute arises between you and ATTMANS, our goal is to resolve the dispute quickly and cost-effectively. Accordingly, you and ATTMANS agree to resolve any claim or controversy at law or equity that arise out of or relate to this Agreement or the Services (each, a “Claim”) by referring the Claim to binding arbitration. The arbitration shall be conducted in Ahmedabad, Gujarat, India in accordance with the terms of the Indian Law Arbitration Rules which are incorporated herein by way of reference.
Subject to arbitration, this Agreement including without limitation any dispute relating to the Services, shall be governed by and construed in accordance with Indian Laws, without regard to its conflict of law provisions and the Courts of Ahmedabad shall have the sole jurisdiction in this regard.
8. Independent Contractor
- Collaborators are independent contractors, not employees of the ATTMANS.
9. Updates to Terms
- The ATTMANS reserves the right to update these Terms at any time.
- Continued use of the ATTMANS after the update constitutes your agreement to the revised Terms.
